First an aircraft that is experiencing an emergency or is in distress has right of way. 

If two aircraft are approaching each other head on, both will divert to the right.

If two aircraft are both heading to the same point the one on the right has right of way. 

If an aircraft is overtaking another then the aircraft being overtaken has right of way. 

For landing purposes the aircraft with the lower altitude has right of way

Anywhere- You need to be at an altitude allowing you to glide to an emergency landing spot without causing hazards to persons or property on the surface.

Congested- 1,000 ft above the highest obstacle and 2,000 ft horizontal. 

Non-Congested- 500 ft about the surface and any persons or obstacles.
