If yom Haatzmaut would fall out on Friday or Shabbos, it is moved back to Thursday. If Yom Haatzmaut would fall out on Sunday or Monday, it is pushed forward to Tuesday

Because we don't have the bees Hamikdash and the Torah seems to connect the counting to the bringing of the korban omer; since we can't bring that korban anymore the Mitzvah doesn't apply on a Biblical level
